Role Purpose:
We are seeking an experienced M&A Lawyer will serve as a strategic legal advisor to the business, leading and supporting mergers, acquisitions, divestments, joint ventures, corporate restructurings, and other strategic transactions across the GCC. The role is responsible for providing expert legal counsel in managing legal risks, ensuring regulatory compliance, and facilitating business growth through commercially sound and legally robust solutions.
This role requires a legal professional who can balance technical legal expertise with commercial pragmatism while supporting senior leadership on strategic growth initiatives. Experience within the Kingdom of Saudi Arabia (KSA) and broader GCC region is highly desirable.
Key Responsibilities:
Mergers & Acquisitions
Lead and manage domestic and cross-border M&A transactions from inception through completion.
Structure, negotiate, and draft transaction documents, including:
- Share Purchase Agreements (SPA)
- Asset Purchase Agreements (APA)
- Joint Venture Agreements
- Shareholders' Agreements
- Subscription Agreements
- Investment and Partnership Agreements
Conduct and oversee legal due diligence exercises and identify transaction risks.
Advise business leaders on transaction structures, regulatory implications, and post-acquisition integration matters.
Coordinate with external counsel, financial advisors, investment bankers, and regulatory authorities.
Corporate Law & Governance
Provide legal advice on corporate structuring, reorganizations, and governance matters across multiple jurisdictions.
Support board and shareholder matters, including resolutions, governance frameworks, and corporate compliance.
Ensure adherence to applicable corporate laws and regulatory requirements across the GCC.
Commercial & Contractual Matters
Draft, review, negotiate, and advise on a broad range of commercial agreements.
Provide legal support for strategic partnerships, procurement arrangements, service agreements, and operational contracts.
Identify legal and commercial risks and recommend practical mitigation strategies.
Regulatory & Compliance
Monitor legal and regulatory developments impacting the business.
Support compliance with applicable local and international regulations.
Advise on competition law, foreign investment regulations, licensing requirements, and corporate compliance obligations.
Stakeholder Management
Partner closely with executive management, finance teams, business leaders, and external advisors.
Translate complex legal issues into practical business solutions.
Support strategic corporate initiatives, investments, and expansion activities.
Required Qualifications
Bachelor's Degree in Law (LLB) or equivalent.
Master's Degree (LLM) is an advantage.
Experience Required
10+ years of legal experience with a significant focus on:
- Mergers & Acquisitions
- Corporate Law
- Commercial Law
Demonstrated experience working in both:
- Leading international / multinational law firms
- In-house legal function within a large corporate or multinational organization
Proven track record of independently managing complex, high-value M&A transactions.
Experience advising executive leadership and senior stakeholders.
Preferred Experience
Strong exposure to KSA legal and regulatory environment.
Experience across the GCC and Middle East.
Background supporting transactions involving private equity, investments, real estate, infrastructure, healthcare, consumer, or diversified business sectors.
Familiarity with corporate restructuring and joint venture transactions.
